Bio
Nick works with clients who need timely, efficient, and practical legal advice in all matters relating to business, real estate, tax, and estate planning.  His clients include businesses of all sizes, real estate developers, lenders, and individuals.  He frequently advises and consults on the structure and design of complex business and real estate transactions, with emphasis on efficient and effective negotiation, and high-quality, durable agreements.  With his background in tax law, Nick is able to provide valuable insight and guidance with respect to a wide range of business, real estate, and estate planning matters.  Some notable transactions of his have included: 
    
  • Representing a seller with international shareholders in the $40 million sale of oil and gas assets in Kern County and Ventura County, California, the proceeds of which were tax-deferred in a section 1031 exchange;
  • Representing the seller in a leveraged buyout of a professional employer organization valued in excess of $20 million;
  • Representing an oil field contract operator and chief executive officer on secondment in connection with a $575 million bankruptcy reorganization of an entity owning and operating approximately 19,000 gross lease acres in Santa Barbara County, California;
  • Representing a real estate developer in connection with the entitlement, sale, construction, and leasing of approximately 15 acres of unimproved, mixed commercial land in a prime location in Bakersfield, California;
  • Representing a landlord in the lease of a world class luxury retail building located in the Rodeo Drive shopping district in Beverly Hills, California;
  • Representing an out-of-state participant bank in connection with a borrower's default and subsequent bankruptcy petition with respect to approximately $38 million in loans made through a community bank in Fresno, California.

 

Nick also frequently advises and consults on his clients' individual estate planning needs.  As he is often intimately familiar with many of his clients' various businesses, holdings, and family relationships, he is able to design an estate plan tailored to the client's individual circumstances and objectives.
